1. Introduction

These Terms of Service (“Terms”) govern your access to and use of TerraMar, operated by Japan Trading Ltd. (“we,” “our,” or “us”).

By using the platform, you agree to be bound by these Terms.

2. Nature of the Service

TerraMar is a business matching platform connecting producers and buyers of agricultural and marine products.

We act solely as an intermediary and:

  • Do not take ownership of products
  • Do not act as a buyer or seller
  • Do not guarantee any transaction outcomes

3. Eligibility

You must:

  • Be at least 18 years old
  • Have authority to represent your organization
  • Provide accurate and truthful information

4. Account Registration

To access certain features, users must register an account. You agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of login credentials
  • Be responsible for all activity under your account

5. User Roles

a. Producers

Responsible for product accuracy, certifications, and supply commitments.

b. Buyers

Responsible for company information and independent due diligence.

6. User Content and Listings

Users may upload company profiles, product details, certifications, and images. You represent that:

  • You have the right to share such content
  • The content is accurate and not misleading

We may remove content that violates these Terms.

7. Communication and Chat

The platform includes messaging functionality.

  • Messages are visible only to participants
  • Users are responsible for their communications
  • We do not guarantee accuracy of exchanged information

8. Visibility of Information

  • Producer profiles and products may be visible to buyers
  • Buyer company information may be visible to producers
  • Chat content remains private between users

9. Acceptable Use

Users may not:

  • Provide false or misleading information
  • Engage in unlawful or fraudulent activity
  • Interfere with platform operations
  • Use the platform for unauthorized purposes

10. Transactions Between Users

All transactions are conducted directly between users. Users are solely responsible for:

  • Negotiation
  • Contracts
  • Payments
  • Logistics

11. No Warranty on Transactions

We do not guarantee:

  • Product quality
  • Pricing
  • Delivery
  • Business outcomes

12. Platform Role Disclaimer

We are not a party to any transaction and assume no liability for user interactions.

13. Data Usage and Privacy

Use of the platform is also governed by our Privacy Policy.

14. Government and Trade Collaboration

Certain business-related information may be shared with relevant governmental or trade organizations to enhance business matching and trade promotion.

15. Intellectual Property

All platform content (excluding user content) is owned by Japan Trading or its licensors. Users may not reproduce or distribute without permission.

16. Suspension and Termination

We may suspend or terminate accounts if:

  • Terms are violated
  • Misuse is detected
  • Required by law

Users may terminate accounts at any time.

17. Disclaimer of Warranties

The platform is provided “as is” without warranties of any kind.

18. Limitation of Liability

To the maximum extent permitted by law, we are not liable for:

  • Indirect or consequential damages
  • Loss of profits or opportunities
  • Damages arising from user interactions

19. Indemnification

Users agree to indemnify and hold us harmless from claims arising from:

  • Platform use
  • Violations of these Terms
  • User transactions

20. Governing Law

These Terms are governed by the laws of Japan.

21. Subscription and Paid Services (Future Implementation)

The platform may introduce paid or subscription-based services. These may include:

  • Premium listings
  • Enhanced visibility
  • Advanced features

We reserve the right to modify or introduce such services at any time.

22. Billing and Payment Terms

If paid services are introduced:

  • Fees will be billed in advance on a recurring basis
  • Payments are non-refundable unless stated otherwise
  • Failure to pay may result in suspension

23. Free and Paid Tier Structure

We may offer both free and paid tiers.

  • Free users may have limited access
  • Paid users may receive enhanced functionality

24. Changes to Terms and Pricing

We may update these Terms or pricing at any time. Continued use of the platform constitutes acceptance of such changes.
